Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and MicroPlan Studio ("MicroPlan Studio," "we," "us," or "our") governing your access to and use of our websites, digital products, micro-sites, templates, planning tools, and related services (collectively, the "Services").

By accessing our websites, downloading or purchasing a product, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must immediately cease use of our Services.

MicroPlan Studio is an independent small business that designs and distributes digital products, including but not limited to planning templates, productivity tools, micro-site kits, and related downloadable resources. Our Services are provided primarily online and are intended for personal and small-business use unless otherwise specified.

You must be at least 13 years of age (or the age of digital consent in your jurisdiction, whichever is higher) to use our Services. By using our Services, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into a binding contract under applicable law.

If you are accessing or using the Services on behalf of a business or legal entity, you represent that you have authority to bind that entity to these Terms, and references to "you" include both you individually and that entity.

4.1 Nature of Products

MicroPlan Studio sells and distributes digital products delivered electronically. Upon completed purchase or authorized download, we grant you a limited, non-exclusive, non-transferable, revocable license to use the product for the purposes and within the scope described at the point of sale.

4.2 Personal License (Default)

Unless a commercial or extended license is purchased, all products are licensed for personal, non-commercial use only. You may:

• Use the product for yourself or within your own household;
• Make a reasonable number of backup copies for personal archival purposes; and
• Modify templates for your own personal use, provided the modified version is not redistributed.

4.3 Commercial License

Where a commercial or extended license is explicitly offered and purchased, the scope of permitted use will be described in the specific product listing. A commercial license does not grant ownership of the underlying intellectual property.

4.4 Restrictions

Regardless of license type, you may not:

• Resell, redistribute, sublicense, or transfer any product or license to a third party;
• Share download links or files with individuals who have not purchased a license;
• Use products to create competing products or services offered for sale;
• Remove, alter, or obscure any copyright, trademark, or proprietary notices; or
• Use products in any unlawful manner or in violation of any applicable regulations.

4.5 Free Resources

Free downloads and resources are provided under the same restrictions as a Personal License unless otherwise stated. "Free" refers solely to price; all intellectual property rights are retained by MicroPlan Studio.

5.1 Pricing

All prices are listed in US Dollars (USD) unless otherwise stated and are subject to change without notice. Applicable taxes may be added at checkout based on your location.

5.2 Payment Processing

Payments are processed by trusted third-party payment processors (such as Stripe, PayPal, or Gumroad). By making a purchase, you also agree to the terms and privacy policies of the applicable payment processor. MicroPlan Studio does not store your full payment card details.

5.3 Refund Policy

Because our products are digital and immediately accessible upon purchase, all sales are generally final. However, we understand that issues arise and we assess refund requests on a case-by-case basis. You may be eligible for a refund or store credit if:

• The product has a significant technical defect that we are unable to remedy;
• The product was materially misrepresented in the listing; or
• You were charged in error (e.g., duplicate transaction).

Refund requests must be submitted within 14 days of purchase by contacting us at the address in Section 20. We reserve the right to decline refund requests that do not meet the above criteria, or where we suspect abuse of our refund policy.

5.4 Chargebacks

Initiating an unwarranted chargeback is a breach of these Terms. MicroPlan Studio reserves the right to dispute chargebacks and to terminate access to Services for accounts involved in fraudulent chargeback activity.

You agree to use our Services only for lawful purposes and in accordance with these Terms. Permitted uses include:

• Browsing our websites for informational purposes;
• Downloading and using purchased or authorized products within your license scope;
• Subscribing to newsletters and communications (with your consent); and
• Contacting us with legitimate inquiries or support requests.

You agree that you will not:

• Use any automated tool (bot, scraper, spider, crawler) to access, copy, or index our Services without our express written permission;
• Attempt to gain unauthorised access to any portion of our systems, servers, or networks;
• Transmit any viruses, malware, or other harmful code through our Services;
• Impersonate MicroPlan Studio, its staff, or any other person or entity;
• Engage in any activity that could damage, overburden, or impair the proper functioning of our Services;
• Circumvent, disable, or interfere with security features, digital rights management, or access controls;
• Use our Services to generate or distribute spam, phishing, or deceptive communications; or
• Violate any applicable local, national, or international law or regulation.

We reserve the right to investigate and take appropriate action, including terminating access, reporting to law enforcement, or seeking legal remedies, against anyone who violates this section.

All content on our websites and within our digital products — including but not limited to text, graphics, logos, icons, images, audio clips, templates, code, and software — is the exclusive property of MicroPlan Studio or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws.

8.1 Our Rights

The MicroPlan Studio name, logo, and product names are trademarks of MicroPlan Studio. Nothing in these Terms grants you any right to use our trademarks, trade names, or branding without our prior written consent.

8.2 Your License

Subject to these Terms, we grant you a limited, personal, non-transferable license to access and use the Services for their intended purpose. This license does not include the right to:

• Reproduce, modify, create derivative works from, or distribute our content for public or commercial purposes;
• Reverse-engineer or decompile any software component of our Services; or
• Remove any proprietary notices or labels from products or materials.

8.3 Feedback

If you submit suggestions, ideas, or feedback about our Services, you grant MicroPlan Studio a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate that feedback for any purpose without compensation or attribution to you.

Where our Services allow you to submit content (e.g., reviews, comments, or forum posts), you represent that your content: (a) is original or you have the right to share it; (b) does not infringe any third-party intellectual property rights; (c) does not contain unlawful, defamatory, obscene, or harmful material; and (d) complies with all applicable laws.

By submitting content, you grant MicroPlan Studio a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content in connection with our Services. We reserve the right to remove any content that violates these Terms or that we deem inappropriate, at our sole discretion.

Our Services may integrate with or link to third-party websites, platforms, payment processors, or software tools. These integrations are provided for your convenience and do not constitute an endorsement of the third party or its products and services.

MicroPlan Studio has no control over third-party services and accepts no responsibility for their content, accuracy, availability, or privacy practices. Your interactions with third-party services are solely between you and the third party, and are governed by that party's own terms and policies.

Ads appearing on our websites are served by Google AdSense and potentially other advertising networks. MicroPlan Studio does not endorse any product or service advertised through these networks and is not responsible for the content of third-party advertisements. We are not liable for any loss or damage that may arise from your reliance on or interaction with any advertisement.

You may opt out of personalised advertising at any time. Please refer to our Privacy Policy, Section 6 for full details and opt-out instructions.

12.1 "As Is" Provision

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR SERVICES AND PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

12.2 No Guarantee of Results

MicroPlan Studio does not warrant that our digital products — including planning templates, organisational tools, and micro-site kits — will produce any specific outcome, financial result, or business success for you. Results depend on many factors outside our control and will vary by individual.

12.3 No Professional Advice

Nothing in our Services constitutes legal, financial, accounting, tax, medical, or other professional advice. Our products are general-purpose tools and should not be used as a substitute for qualified professional guidance tailored to your specific circumstances.

12.4 Availability & Accuracy

We do not guarantee that our Services will be uninterrupted, error-free, or free of viruses or other harmful components. We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice. While we strive for accuracy, we do not warrant that all content is current, complete, or error-free.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MICROPLAN STUDIO, ITS OWNERS, EMPLOYEES, CONTRACTORS, PARTNERS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
• DAMAGES RESULTING FROM YOUR INABILITY TO ACCESS OR USE THE SERVICES;
• DAMAGES RESULTING FROM THIRD-PARTY CONDUCT, CONTENT, OR SERVICES; OR
• ANY OTHER DAMAGES ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICES,

EVEN IF MICROPLAN STUDIO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

IN ALL CASES, MICROPLAN STUDIO'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO MICROPLAN STUDIO IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) US $10.00.

You agree to defend, indemnify, and hold harmless MicroPlan Studio and its owners, officers, contractors, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms;
• Your use or misuse of the Services or products;
• Your violation of any third-party rights, including intellectual property rights; or
• Any content you submit to our Services.

MicroPlan Studio reserves the right to suspend or terminate your access to the Services, with or without notice, at our sole discretion, for any reason, including but not limited to breach of these Terms.

Upon termination:

• All licenses granted to you under these Terms immediately cease;
• Any outstanding payment obligations remain due and payable; and
• Provisions that by their nature should survive termination (including Sections 8, 12, 13, 14, 16, and 17) will survive.

You may stop using our Services at any time. Termination of your access does not entitle you to a refund except as provided in Section 5.3.

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict-of-law principles. To the extent that any lawsuit or court proceeding is permitted under these Terms, you and MicroPlan Studio agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Massachusetts.

If you are a consumer resident in the European Union, United Kingdom, or another jurisdiction that grants non-waivable consumer rights, nothing in this section limits those rights.

17.1 Informal Resolution

Before initiating any formal proceeding, you agree to contact MicroPlan Studio at the address in Section 20 and give us at least 30 days to attempt to resolve the dispute informally.

17.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding individual arbitration administered by a mutually agreed-upon arbitration provider under its applicable consumer or commercial rules. The arbitration will be conducted in English and, unless otherwise agreed, will take place remotely.

17.3 Class Action Waiver

YOU AND MICROPLAN STUDIO EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this waiver is deemed unenforceable, then the arbitration clause in Section 17.2 shall be void.

17.4 Small Claims Exception

Either party may bring an individual claim in small claims court if the claim qualifies and the case remains in that court.

17.5 EU/UK Consumer Rights

If you are an EU consumer, you may also submit a complaint through the European Commission's Online Dispute Resolution platform (ec.europa.eu/consumers/odr). UK consumers may contact their relevant Alternative Dispute Resolution (ADR) body.

We reserve the right to update or modify these Terms at any time at our sole discretion. When we make material changes, we will:

• Update the "Last updated" date at the top of this page;
• Post a notice on our website; and/or
• Notify registered users or subscribers by email, where appropriate.

Your continued use of the Services after the revised Terms become effective constitutes your acceptance of the changes. If you do not agree with the modified Terms, you must stop using our Services.

• Entire Agreement: These Terms, together with our Privacy Policy and any product-specific license terms, constitute the entire agreement between you and MicroPlan Studio regarding your use of the Services and supersede all prior agreements.
• Severability: If any provision of these Terms is found invalid or unenforceable by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
• No Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
• No Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. MicroPlan Studio may freely assign these Terms in connection with a business transfer or restructuring.
• Force Majeure: MicroPlan Studio will not be liable for any failure or delay caused by events outside our reasonable control, including natural disasters, acts of government, internet or infrastructure outages, or pandemic events.
• Language: These Terms are written in English. Any translations are provided for convenience only; the English version shall control in the event of any conflict.
• Electronic Communications: You agree to receive communications from us electronically and acknowledge that all agreements, notices, and disclosures provided electronically satisfy any legal requirement that such communications be in writing.
